Governance at Green School – Overview

Introduction

While the Director leads, and the Principal manages the school from day to day, Green School holds onto a properly constituted and registered  –  fully compliant with the laws of the Republic of Indonesia – Board of Governance at three levels:

  • Yayasan Kulkul – duly registered as a not-for profit foundation in Indonesia; the owner of the assets of Green School.
  • Green School Bali (formerly the School for Life) registered as a not-for-profit organisation in the United States, enabling funds to be raised and claimed as tax deductibes under 501(c)3.
  • School Board  – responsible for setting the vision, for approving all strategy and for monitoring quality, and success, at the highest level.


SCHOOL BOARD

A.  Purpose

The School Board is the ultimate guardian of the School’s purposes and direction. It is the final authority, and final internal court of appeal – responsible for approving all strategy and for monitoring quality, and success, at the highest level.

As owner and employer, it guards the financial, educational and employment health of the School. Its approval is required for any structural or organisational change or senior appointment.

It looks ahead and considers the long-term – and it looks to its Director and Principal as the education professionals to initiate or to provide it with timely, detailed reports and proposals for development. It represents the School in the wider community.

Its most important task is to select, monitor and support the Director and the Principal.

B.  Membership

Green School will grow its School Board to 7 to 9 members.  It will invite its members for the expertise and experience they can bring to the governance of the school.

C.  Rules

Statutes:

The School Board has its Instruments and Articles of Governance or By-Laws: a written statement of its purpose, rules for membership, length of service, chairmanship and officers, meetings, frequency, minutes and voting.

Procedures:

The Board tasks, and takes advice from, a number of standing and ad hoc committees on which wider representation is invited from parents of current students.

Committees elect a Chair to represent the committee’s views and recommendations to the Board.

Ad hoc committees will be set up in response to particular developments, opportunities, initiatives that arise from time to time.

D.  Responsibilities

The School Board  is ultimately responsible for all aspects of school life.

Indonesian law prescribes particular responsibilities (for example concerning employment or ownership of property) but beyond this, the Board ensures that suitable arrangements are in place, for example, for security, health and safety, the professional development and review of staff, sound financial controls, planning and budgeting, and the monitoring of educational results.

Instruments and articles of governance of Green School – outline of  ‘by-laws’

1. Description of Green School.

Green School opened in Sibang Kaja in Badung Province, Bali, Indonesia in 2008. It is an organisation delivering sustainability in education through the medium of an international school.  Its students are  children of locals and expatriates.

It is administered by Yayasan Kulkul – a not-for-profit foundation registered in Indonesia – and is governed by a School Board.

3. Members of the School Board

The Founders of Green School formed the first School Board and continue as its core.  They invited others to join the Board as members. Individuals are considered for membership of the Board, and are invited to join by majority vote by the Board.

Apart from the Founders, members hold their position on the Board for an initial two years; they may be invited – by majority vote of the Board – to extend that tenure in further periods of two years without limit.

4. Eligibility for Membership of the School Board

There will be an eventual minimum of 7 members and a maximum of 9 members of the Board.  The Board strives to ensure a balance of representation of expertise and experience to benefit the governance of the school.

5. Officers of the School Board

A Chair is elected by members of the Board and holds tenure of that position for two years at a time, renewable by majority vote of the Board.

An Alternate Chair (to deputise for the Chair in the Chair’s absence) is elected by members of the Board and holds tenure of that position for two years at a time, renewable by majority vote of the Board.

A Secretary is elected by members of the Board and holds tenure of that position for two years at a time, renewable by majority vote of the Board.

6. Standing Committees and Ad Hoc Committees of the School Board

The Board tasks, and takes advice from, a number of standing and ad hoc committees on which wider representation is invited from parents of current students.

Committees elect a Chair to represent the committee’s views and recommendations to the Board. They include:

  • Education in the Green Context – researching curriculum options and developments and advising on appropriate alignments and influences – to ensure the credibility of a Green School international education in terms of academic rigour, whilst being at the forefront of sustainability in education; considering Green School’s association with professional bodies; weighing the value of research opportunities.  The Principal sits on this committee.
  • Green Innovations,  Research and Development – researching developments worldwide and advising on appropriate participation and/or implementation at Green School.  The Manager of Green Studies and the General Manager and the Principal sit on this committee.
  • Community Outreach – developing and supporting relationships with the local and wider community; searching out development projects to the benefit of community through the service of students and teachers.  The Director sits on this committee.
  • Enterprises – identifying and developing appropriate business and fund-raising opportunities – including making applications for grants to appropriate bodies – to enable the financial sustainability of Green School.  The General Manager sits on this committee.

Ad hoc committees will be set up in response to particular developments, opportunities, initiatives that arise from time to time.

7. Meetings of the School Board

The Board meets a minimum six times per year.  Chairs of Committees are invited to present at meetings.  Meetings are recorded and summative records of meetings are made available to parents of current students.

Decisions are made at Board meetings by concensus, or, failing that, by majority vote. In the case of no clear majority, the Chair’s decision rules.

There will be an annual open meeting at which the Board reports to parents of current students.
